Victoriabank Shareholders' General Meeting: 2025 Annual Report and Strategic Directions

Victoriabank held its Annual Ordinary General Meeting of Shareholders on June 26, 2026, during which the bank’s financial results, the Board of Directors’ report, and other financial and governance matters were presented.
At the start of the meeting, the participants observed a moment of silence in memory of Victor Țurcan, one of the founders of Victoriabank, ​For more than three decades, he held leadership positions and contributed to the bank's growth.

The year 2025 marked an important milestone in Victoriabank’s development, characterized by sustained growth and the consolidation of its market position. During this period, the following were successfully completed merger with BCR Chișinău and the purchase Microinvest, transactions that have contributed to the expansion of operational capabilities and the diversification of services offered to customers.

Meeting 1

On a standalone basis, Victoriabank reported a net profit of 750 million lei in 2025, while on a consolidated basis, profit reached 850 million lei. The bank maintained its rapid pace of growth, with its loan portfolio growing, on a consolidated basis, by over 10 billion lei during the year. As of December 31, 2025, consolidated capital exceeded 5.1 billion lei, and the consolidated capital ratio stood at 25.2%, significantly above regulatory requirements. Victoriabank also maintained solid liquidity ratios, confirming its ability to support business growth and respond effectively to the challenges of the economic environment.

At the same time, the other items on the agenda were also approved by a majority vote of the shareholders: the reappointment of the audit firm and the determination of the amount of its fees, the distribution of the 2025 profit, by fully reflecting it in retained earnings, the approval of the guidelines for the distribution of the bank’s net profit for 2026, and certain amendments to the internal regulations.

At the General Meeting, shareholders had the opportunity to openly discuss topics of interest and contribute to a constructive dialogue about the bank’s progress and prospects.

Victoriabank is continuing its development strategy, focusing on sustainable growth, strengthening its market position, and creating long-term value for customers, shareholders, and the community.
